These Terms of Service (the “Terms”) govern your access and use of the Site and the services offered by the Company (the “Services”). 4. Engagement and Payment Terms
4.1 Service Engagement
When engaging Decent People for recruitment or freelance services, the Company will provide details of each engagement, including:- The nature of the engagement.
- Duration and scope of work.
- Fees and payment terms, which will become binding once agreed upon.4.2 Payment
Clients agree to pay the fees for the Services as outlined in the applicable engagement agreement. Payments are processed through secure online payment systems. The Company reserves the right to correct any errors in pricing, even if payment has already been requested or received. All payments must be made in either US Dollars (USD) or Singapore Dollars (SGD) unless otherwise agreed.4.3 Recurring Payments
For services that involve recurring charges (e.g., monthly contracts), you authorize us to automatically charge your payment method on a recurring basis until the contract is terminated.4.4 Refund Policy
All sales of Services are final. No refunds will be issued unless specifically agreed upon in the engagement contract or required by applicable law.
5. Client and Freelancer Obligations
5.1 Client Responsibilities
Clients using our Services to recruit, hire, or manage freelance workers are responsible for:Clearly outlining job descriptions, requirements, and expectations.
Ensuring timely payment to freelancers or experts for completed work.
Complying with local labor laws and regulations when hiring full-time or part-time employees.
5.2 Freelancer and Partner Responsibilities
Freelancers and independent contractors using our platform agree to:- Provide accurate information about their skills, experience, and availability.
- Deliver quality work within the agreed-upon timelines.
- Comply with all applicable tax and employment laws in their jurisdiction.5.3 Independent Contractor Status
Unless explicitly agreed in writing, freelancers engaged through Decent People are considered independent contractors and are not employees of the Company or the Client.
6. Non-Circumvention
Clients and freelancers introduced through Decent People agree not to engage with each other outside of the platform for similar services for a period of 12 months following the end of any engagement unless agreed in writing with the Company. Any violation of this clause may result in a penalty fee, equivalent to the commission Decent People would have earned from such engagement.
7. Confidentiality and Data Protection
7.1 Confidential Information
Both Clients and freelancers acknowledge that during the course of their engagement, they may have access to confidential or proprietary information belonging to the other party. All parties agree to maintain the confidentiality of such information and use it solely for the purpose of completing the engagement.7.2 Data Protection
Decent People is committed to protecting your personal information in compliance with Singapore’s Personal Data Protection Act (PDPA). By using our Services, you consent to the collection and use of your personal data as described in our Privacy Policy.
8. Ownership of Work Product
All intellectual property, work products, or deliverables created by freelancers or experts during an engagement are owned by the Client unless otherwise specified in the engagement contract. Freelancers grant Clients a non-exclusive, perpetual license to use such work products for their internal business purposes.
9. Termination of Service
9.1 Termination by Client
Clients may terminate their engagement with Decent People by providing written notice in accordance with the termination provisions in the applicable contract. A minimum notice period of 30 days is required for terminating long-term engagements unless otherwise specified.9.2 Termination by the Company
We reserve the right to terminate or suspend your account or Services without notice if you breach these Terms or engage in any unlawful activity.
10. Limitation of Liability
To the fullest extent permitted by law, Decent People will not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Site or Services, including but not limited to lost profits or business interruption. Our liability is limited to the total fees paid for the Services in connection with which the liability arises.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration in Singapore, in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The seat of arbitration shall be Singapore, and the language of the arbitration shall be English.
12. Miscellaneous
12.1 Entire Agreement
These Terms constitute the entire agreement between you and Decent People regarding your use of the Site and Services and supersede any prior agreements.12.2 Severability
